Kemp Little LLP, the leading technology law firm, has advised HZO, the world leader in advanced and scalable electronics waterproofing and protection solutions, on its acquisition of Semblant, the leading UK supplier of protective nano-coatings and waterproofing technology.
HZO is a technology solutions and licensing company that provides electronics manufacturers and device makers in a range of industries – including consumer, medical, military and industrial – with thin-film protection against damage caused by liquid submersion, corrosive environments, humidity, sweat, dust, and debris. With the acquisition, HZO will add Semblant’s unique plasma-applied coatings to its Spectrum of ProtectionTM solution portfolio, allowing HZO to further innovate and deliver unmatched protection, scale and flexibility to protect any electronic device or component.
The Kemp Little team was led by corporate partner Andy Moseby and managing associate Adam Kuan with support from corporate associate Patrick Roux. Amanda Solomon, head of the Kemp Little tax team, also advised on tax issues.
Kamal Bherwani, Lead Director at HZO, commented: “HZO’s acquisition of Semblant was an important step in expanding our portfolio of solutions. Andy and his team provided thorough and expert advice on a fairly complex transaction.”
Andy Moseby, Kemp Little’s deal team said: “We’re delighted to have worked with HZO on this important transaction which allows HZO to expand and gives them a UK presence. The project was a real collaborative effort between us, the HZO management team and their US advisers.”
Wilson Sonsini Goodrich & Rosati advised HZO on the US aspects of the transaction. Fieldfisher LLP and Venable LLP advised the shareholders of Semblant.
